Terms of Service

1. Acceptance

By using godentai.com or signing up for our AI receptionist service, you agree to these terms. If you don't, please don't use the service.

2. The service

GoDentai provides an AI receptionist ("Sophia") that answers inbound calls on behalf of US dental practices and other service businesses. The service includes:

  • 24/7 inbound call answering with sub-1-second response time
  • Patient qualification (new/returning, insurance, procedure interest)
  • Calendar booking integration (Google, NexHealth, Dentrix, others)
  • SMS confirmation and 24h reminders
  • Full call transcripts available to customer

3. Pricing

Month 1 - Proof of Concept:

  • $0 setup fee
  • $0.50 per minute - missed calls only (after-hours, lunch, overflow)
  • Always capped at your plan price - you never pay more than your tier
  • Tiers based on call volume: Starter $297/mo (10-20 calls/day), Growth $397/mo (20-40), Scale $497/mo (40-60), Enterprise $597/mo (60+)
  • All fees in USD

Month 2+ - Full Automation:

  • Flat monthly fee based on your tier (Starter $297, Growth $397, Scale $497, Enterprise $597)
  • Unlimited calls, all minutes included
  • Custom Sophia trained on your practice data

4. Billing & payment

  • Fees are billed monthly in advance (usage-based Month 1 charges are billed in arrears) to the payment method on file.
  • Subscriptions auto-renew each month until cancelled under §5.
  • Invoices are due on receipt. We may suspend the service if an invoice is more than 7 days overdue, after notice.
  • Fees are non-refundable except where required by law; we do not pro-rate partial months on cancellation.
  • Prices may change with 30 days notice; changes never apply to a period you have already paid for.

5. Cancellation

Either party may cancel with 60 days written notice. No cancellation fee. Month 1 proof-of-concept can be ended at any time without penalty.

6. Customer responsibilities

You agree to:

  • Provide accurate practice information (services, hours, pricing, FAQ)
  • Forward inbound calls to the phone number we provide
  • Connect your calendar (or equivalent integration) within 48h of go-live
  • Notify us within 24h of any change to services, hours, or insurance accepted
  • Respect applicable laws (TCPA, HIPAA, state-specific dental regulations)

7. Acceptable use

You will not use the service to:

  • place or facilitate unsolicited marketing calls/texts, or contact numbers on a Do-Not-Call or revoked-consent list;
  • violate the TCPA, A2P 10DLC / carrier rules, HIPAA, or any applicable law;
  • provide unlawful, deceptive, or harmful content for Sophia to deliver to callers;
  • attempt to reverse-engineer, resell, or overload the platform.

You are responsible for having a lawful basis and any required consent to contact the individuals you direct us to call or message.

8. Service warranties & disclaimers

The service is provided “as is” and “as available.” Sophia is an AI system: it can mishear, misclassify, or make mistakes, and it may be affected by third-party outages.

  • We do not guarantee a specific number of calls answered, bookings, revenue, or uptime.
  • You remain responsible for verifying bookings, clinical decisions, and the accuracy of patient information before acting on them.
  • Sophia does not provide medical, dental, legal, or emergency advice; emergency callers are directed to call 911 or your designated line.

To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. HIPAA + BAA

We sign a Business Associate Agreement (BAA) with every customer prior to go-live. Protected Health Information (PHI) is handled per HIPAA Security Rule + Privacy Rule: encrypted at rest, US-only processing, retention only as long as needed for service delivery.

10. Intellectual property

We own the GoDentai platform, the Sophia software, prompts, and configurations. We grant you a non-exclusive, non-transferable right to use the service during your subscription. You own your data — practice information, call logs, transcripts, and recordings — and you grant us the license needed to operate the service and, in de-identified/aggregated form, to improve it.

11. Liability

Our total liability for any claim is capped at the fees paid by you in the 12 months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, nor for: outages of third-party service providers (telephony, AI, and platform vendors), force majeure events, or losses arising from your failure to provide accurate practice information.

12. Indemnification

You agree to indemnify and hold us harmless from third-party claims arising out of your use of the service, your content or practice information, your instructions to contact individuals, or your breach of these terms or of applicable law (including TCPA/HIPAA). We will indemnify you against third-party claims that the GoDentai platform itself infringes their intellectual-property rights.

13. Termination

Either party may terminate with 30 days written notice. On termination:

  • We transfer all call logs, transcripts, and customer data to you within 14 days
  • We deactivate the phone number (or transfer to you on request)
  • We delete our copies of your data within 90 days of termination, unless retention is required by law

14. Governing law

These terms are governed by the laws of Italy. Disputes are resolved in the courts of Isernia (IS), Italy, unless mandatory consumer-protection law requires otherwise for non-US customers.

15. Changes & general

We may update these terms; material changes are posted here and, for active customers, emailed. Continued use after a change means you accept it. These terms, together with our Privacy Policy and any signed BAA/order form, are the entire agreement between us. If any provision is unenforceable, the rest remains in effect. You may not assign these terms without our consent; we may assign them in connection with a merger or sale. Failure to enforce a provision is not a waiver.
